Pricefx Training – Terms of Use

By registering for any Pricefx training program, the participant (“Participant”) on behalf of themselves and, where applicable, their employer or sponsoring organization (“Customer”) agrees to these Terms of Use and acknowledges that acceptance applies to the entire training registration, access, and delivery process.

1. Pricing & Invoicing Terms

Training fees are invoiced in accordance with the applicable Statement of Work (“SoW”), Order Form, Partner Agreement, or other governing agreement between Pricefx and the Participant or the Customer . In the event of a conflict between these Terms of Use and any applicable Statement of Work, Order Form, or governing agreement, the terms of such governing agreement shall prevail. Payment terms follow those set forth in the applicable governing document.

Failure to pay undisputed invoices may result in suspension or termination of the Participant’s right to access training programs, training environments, the Pricefx learning platform, or training content without prejudice to Pricefx’s right to receive full payment.

Once access to training content and/or training demo environments has been granted, the training is considered consumed. No refunds, credits, or partial refunds are available, regardless of whether the Participant completes the training, attends live sessions, or achieves certification or completion status.

2. Training Programs, Access & Assignment Period

Pricefx training programs are delivered primarily as self-study, on-demand learning, optionally supported by live public Q&A sessions and/or private 1-on-1 sessions, depending on the program.

Access to training materials and training demo partitions is granted for a limited period, typically one (1) to two (2) months, depending on the specific training program. The applicable access duration is communicated during registration.

Upon expiration of the access period:

Access to training content and demo partitions is automatically deactivated.
All training records, including certifications or certificates of completion (where applicable), remain stored in Pricefx systems.

Additional access time may be requested for an additional fee, subject to availability and approval.

Access periods are estimates and may be adjusted by Pricefx for operational, technical, or compliance reasons, provided that such adjustments do not materially reduce the training delivered.

3. Training Registration & Acceptance

By registering for a Pricefx training program and accepting these Terms of Use, the Participant:

Accepts the entire training registration process, including access provisioning, activation schedules, and expiration rules.
Confirms understanding of the training delivery model, prerequisites, and participation requirements.
Acknowledges that training access, once granted, constitutes full delivery of the training service.

Participants are responsible for reviewing and meeting any prerequisites defined for technical training programs. Prerequisite requirements are described in the applicable Pricefx Knowledge Base articles.

4. Public Q&A Sessions

Public Q&A sessions are scheduled per training program and communicated directly to enrolled Participants.

Participation in public Q&A sessions is optional.
Sessions are intended solely to clarify training-related content.
Customer-specific, partner-specific, or project-specific configuration or implementation topics are out of scope.
A Training Advisor may cancel a public Q&A session if no Participants are enrolled or present.
Participants are encouraged to submit questions in advance to maximize session value.
Pricefx does not guarantee the availability, frequency, or continuity of public Q&A sessions.

5. Private 1-on-1 Sessions & No-Show Policy

Private 1-on-1 sessions are delivered by appointment and are intended for training-related clarification.

If a Participant does not attend a scheduled private session and fails to provide at least seventy-two (72) hours’ prior notice to cancel or reschedule, the session is counted as used and no refund or replacement session will be provided.
If no Participant attends a scheduled private session, the Training Advisor reserves the right to cancel the session.
Private sessions do not replace consulting services, implementation services, or project delivery support.
Rescheduling is subject to Training Advisor availability and is not guaranteed.

6. Training Environments (Demo Partitions)

Where required, Pricefx provides training demo partitions for hands-on practice.

Demo partitions are assigned for training purposes only.
Partitions expire automatically at the end of the assigned access period.
Access extensions may be requested for an additional fee.
Pricefx does not guarantee data persistence or availability beyond the access period.

7. Platform Terms – Right to Use

Subject to compliance with these Terms of Use and any platform-specific terms communicated by Pricefx or its platform providers, Pricefx grants the Participant a non-exclusive, revocable, non-transferable, limited right to access and use the Pricefx training platform and all related training content (“Platform” and “Content”) solely for educational purposes related to Pricefx products and services.

Each Participant receives unique login credentials. Credentials are personal and non-transferable and must not be shared. Additional Participants require separate registrations and credentials.

8. Confidentiality, Personal Data & Intellectual Property

All Content, including training materials, recordings, documentation, exercises, and labs, is confidential and remains the exclusive property of Pricefx or its licensors.

Participants shall:

Keep all Content confidential.
Not disclose Content to third parties.
Not reproduce, distribute, modify, or use Content outside the scope of the training.

All intellectual property rights in the Platform and Content remain with Pricefx or its licensors. No rights are granted except as expressly stated in these Terms.

Participants are responsible for safeguarding their login credentials and must notify Pricefx promptly of any unauthorized access.

Personal data is processed in accordance with the Pricefx Privacy Policy.

Any recordings of live or virtual training sessions are considered Content and are the exclusive property of Pricefx. Confidentiality and intellectual property obligations survive termination or expiration of access.

9. Unauthorized Use

Participants may not, directly or indirectly:

Copy, modify, distribute, or create derivative works from the Platform or Content.
Reverse engineer, decompile, or attempt to extract source code.
Resell, sublicense, or commercially exploit training access.
Circumvent or breach security measures.
Upload malicious code.
Interfere with platform operation or performance.
Share unlawful, harmful, defamatory, or inappropriate content.

10. Suspension or Termination of Access

Pricefx may suspend or terminate a Participant’s access to the Platform or Content at any time if it reasonably believes the Participant has violated these Terms, applicable law, or Pricefx’s rights.

Suspension or termination for breach does not entitle the Participant or Customer to any refund.

11. Disclaimer & Limitation of Liability

The Platform and all training Content are provided “as is” and “as available” and are intended solely for educational and informational purposes.

Pricefx makes no representations or warranties, whether express, implied, statutory, or otherwise, including but not limited to warranties of accuracy, completeness, merchantability, fitness for a particular purpose, non-infringement, or that participation in training will result in any specific business outcome, certification success, or technical capability.

To the maximum extent permitted by applicable law, Pricefx shall not be liable for any damages arising out of or related to participation in training programs, use of the Platform, Content, training environments, live sessions, or any related services, including but not limited to:

Direct, indirect, incidental, consequential, or punitive damages.
Loss of profits, revenue, business opportunity, goodwill, or data.
System downtime, data loss, or training environment unavailability.

Pricefx’s total cumulative liability, regardless of the legal theory, shall not exceed the total amount paid by the Participant (or Participant’s organization) for the applicable training program giving rise to the claim.

Nothing in these Terms of Use limits liability where such limitation is prohibited by applicable law.
